These Terms of Service (“Terms”) govern your access to and use of the Grateful Metals web application, website, and services (the “Service”) operated by Grateful Metals LLC, an Indiana limited liability company (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
These Terms apply to all membership tiers: Free, Premium, and Estate.
You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

We may suspend or terminate your account if we believe you have violated these Terms or engaged in fraudulent, abusive, or unlawful activity.
The Service is offered in three tiers:
Pricing and features are subject to change. Any changes to pricing will apply only to new purchases or renewals after the change takes effect, and will not retroactively change a lifetime or already-paid entitlement. Launch-promotion offers are granted to the first 50 members to upgrade to a lifetime Premium tier, allocated in upgrade order, and are non-transferable. The first 25 qualifying upgrades receive lifetime Premium at no charge; upgrades 26–50 receive lifetime Premium for a one-time $25 payment; subsequent upgrades receive the standard annual subscription.
Refunds. Annual Premium subscriptions are refundable within 14 days of the initial annual purchase or renewal if the paid features have not been materially used during that period. One-time Premium lifetime and Estate purchases are final and non-refundable, except where a refund is required by law or in cases of duplicate, accidental, or unauthorized charges that Grateful Metals verifies. Lifetime access. Lifetime access means access that continues for as long as your Grateful Metals account remains active and in good standing, unless the account is closed or terminated under these Terms.
Payment is processed by Stripe. By purchasing a paid tier, you authorize Stripe to charge your selected payment method. Annual recurring subscriptions automatically renew at the end of each billing period until canceled via the account billing page or Stripe Customer Portal. You may cancel at any time; cancellation stops future renewals but does not refund the current billing period, and your access continues through the end of the period already paid for.
If you choose to pay for the Estate tier by ACH Direct Debit (bank transfer), you authorize Grateful Metals LLC, through Stripe, to debit the bank account you designate for the amount specified. This authorization is granted via a mandate that you must accept before any debit occurs.

You retain ownership of the content you upload to your vault, including item details, notes, and images (“Your Content”). You grant Grateful Metals LLC a limited license to host, store, display, and process Your Content solely to operate the Service for you.
You represent that you have the rights to upload Your Content and that doing so does not violate any law or third-party right. We are not responsible for the accuracy of the values, grades, or descriptions you assign to your items.
The Service, including its design, software, Reference Guide content, and brand, is owned by Grateful Metals LLC and protected by intellectual property laws. Reference and grading data retrieved from third parties (such as PCGS) remain the property of their respective owners and are provided subject to their terms. You may not copy, distribute, or create derivative works from the Service except as expressly permitted by these Terms.
Grateful Metals is a collection management and reference tool. Spot prices, grades, reference values, and any market data displayed in the Service are provided for informational purposes only and do not constitute financial, investment, tax, accounting, or legal advice. Precious metals and numismatic markets are volatile. You are solely responsible for your own buying, selling, and investment decisions. You should consult a qualified professional before making financial decisions.
Estate-tier members may designate an heir to inherit access to their vault. The following terms apply to inheritance transfers:
Shakedown Street is the community marketplace where verified Premium members list coins from their own vaults — offering them for sale, or offering them for trade — so that other Grateful Metals users may buy those coins or trade for them. Grateful Metals LLC operates the platform that hosts listings, matches them against user Watchlists, and passes messages between the listing member and interested members. We are not a party to any transaction between users, and we do not take custody of coins, funds, or bank information for those transactions.
Every direct-message thread within the Service provides an “Export PDF” action that produces a transcript of the conversation. If another user's conduct in a message thread appears fraudulent, harassing, or otherwise in violation of these Terms, you may export the transcript and forward it to the Grateful Metals administrator (via a direct message to the gratefulmetals account or by email to the address in Section 18). We review reports individually and use them, together with our own records, to decide whether to warn, suspend, or terminate an account.
We may suspend or terminate any account we determine, in our sole discretion, to be acting in violation of these Terms or to be harmful to other members. Suspensions are for cause. Where circumstances warrant it, we may offer to reinstate a suspended account.
A reinstatement offer will be delivered by email to the address on file for the suspended account and may be conditioned on your acceptance of the following: we will record and retain a persistent device fingerprint — an identifier assembled from your browser and device characteristics — and use it to identify subsequent account activity from your device. This condition allows us to give a good-faith second chance without exposing the community to the same person creating an anonymous new account after being suspended. You may decline the reinstatement offer; if you do, the suspension stands.
We are actively evaluating specific tooling for device-fingerprint capture and its planned deployment. Until such tooling is live, references in this section to a “device fingerprint” describe the intended mechanism, and the reinstatement condition is enforced through the equivalent identifiers then available to us (including IP address history and account metadata). We will amend this section when the specific tooling changes.
If, after a reinstatement, we identify multiple accounts operated by the same person — whether by device fingerprint, IP history, payment-instrument match, or other evidence — all associated accounts will be permanently banned, the associated device will be blocked from creating additional accounts through the Service, and any active Premium or Estate subscription tied to those accounts will be canceled without refund. This is the enforcement mechanism that makes reinstatement offers possible in the first place; the community depends on Premium and Estate members being who they say they are.
Nothing in this section creates an agency, partnership, joint venture, or fiduciary relationship between you and Grateful Metals LLC in connection with any transaction. Section 12 (Limitation of Liability) and Section 13 (Indemnification) apply in full to your use of Shakedown Street.
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data will not be lost. Reference values, grades, and spot prices may be inaccurate, delayed, or unavailable.
To the maximum extent permitted by law, Grateful Metals LLC, its operators, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or fifty dollars ($50), whichever is greater.
You agree to indemnify and hold Grateful Metals LLC harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party right.
You may delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ends, except that lifetime (Premium or Estate) entitlements remain governed by their terms unless terminated for cause. Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will remain in effect.
If a recurring subscription is canceled or lapses, your vault data is retained but access to adding items beyond the Free limit and Premium features is suspended until payment is restored.
The Service relies on third-party providers, including Stripe (payments, ACH, Financial Connections), Supabase (database, authentication), Cloudflare (image storage), PCGS (reference data), and Vercel (hosting). We are not responsible for the actions or failures of these third parties, and your use of their services is subject to their respective terms and policies.
We may modify these Terms at any time. When we do, we will revise the “Last updated” date. For material changes, we will provide notice through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you may stop using the Service and, where applicable, cancel your subscription.
These Terms are governed by the laws of the State of Indiana, United States, without regard to conflict-of-laws principles. You and Grateful Metals LLC agree to attempt to resolve any dispute informally first. Any dispute that cannot be resolved informally will be resolved by binding arbitration conducted in Indiana, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
